TL;DR

To sign an NDA online: prepare the NDA document, choose an e-sign platform, send the signing link to the other party, track the signing event, download the executed PDF, and store it with the audit log. Electronically signed NDAs are legally enforceable under the US ESIGN Act, EU eIDAS, and UK law. Always obtain and store a complete audit trail before disclosing any confidential information.

What NDAs Require

A Non-Disclosure Agreement is a contract. Its enforceability depends on standard contract principles — offer, acceptance, consideration, and mutual intent to be bound — not on whether it is signed electronically or on paper. Under the ESIGN Act and UETA, an electronically signed NDA carries the same legal effect as a wet-signed one.

Every NDA should address the following elements:

  • Parties: Full legal names and roles (disclosing party vs. receiving party for one-way; both parties equally for mutual).
  • Scope of confidential information: What is being protected. Vague scope ("all information shared") is harder to enforce than specific scope ("technical specifications, customer lists, and financial projections").
  • Duration: How long the obligation lasts. Indefinite NDAs can be problematic in some jurisdictions; 2-5 years is typical for commercial agreements.
  • Permitted disclosures: Exceptions such as information that becomes public, information the recipient already knew, or disclosures required by law.
  • Governing law and jurisdiction: Which state's or country's law governs and where disputes are resolved.

Creating an NDA

For NDAs involving significant commercial value — investor pitches, technology licensing, M&A due diligence — working with a qualified attorney to draft or review the document is the most defensible approach. An attorney can tailor the NDA to the specific jurisdiction, information type, and parties involved.

For routine business NDAs — standard vendor discussions, employment-related NDAs, or partner introductions — reliable template sources include:

  • State bar association template libraries (publicly available for many US states)
  • Established legal tech platforms (LegalZoom, Rocket Lawyer, Docracy) that provide jurisdiction-specific templates
  • Your existing e-sign platform's template library (DocuSign, HelloSign, Adobe Sign all offer NDA templates)

Do not use a generic AI-generated NDA for a high-stakes disclosure without legal review. AI-generated legal documents may omit jurisdiction-specific requirements, use outdated provisions, or fail to address the specific nature of the confidential information being protected.

Once the NDA is finalized, export it as a PDF before uploading to your e-sign platform. This preserves the formatting and prevents any formatting changes during the signing process.

Sending for Signature

E-sign platforms are the recommended approach for NDA signing. Sending the PDF as an email attachment and asking the recipient to "sign and return" lacks an audit trail and authentication record, making it harder to prove the specific document content at the time of signing if a dispute arises.

When setting up the signing workflow, consider the authentication level. Most platforms offer:

  • Email authentication: The signing link is sent to the recipient's email; access to that email constitutes authentication. Appropriate for standard commercial NDAs.
  • SMS OTP: An additional one-time passcode sent to a mobile number. Stronger authentication for higher-stakes NDAs.
  • Knowledge-based authentication (KBA): Identity questions derived from public records. Available on some platforms for US signers. Provides the strongest identity link for SES.

The Signing Workflow

Most platform-based NDA signing workflows follow this sequence:

  • The recipient receives an email notification with a link to the NDA.
  • They review the document in the platform's viewer. Attempting to skip to the signature field before reading can trigger a warning on some platforms.
  • They complete the signature field by typing, drawing, or selecting a stored signature.
  • They click "Finish" or "Submit." The platform records the exact timestamp, IP address, and authentication event.
  • For a two-party mutual NDA, the sending party then receives notification and signs in turn. Both signatures appear on the final document.
  • Once complete, both parties receive the executed PDF and the audit log.

Tracking and Confirmation

The signed NDA record should include: the executed PDF with both parties' signatures, the timestamp of each signing event, the IP address and email address used for each signing, the platform's audit trail or Certificate of Completion, and confirmation that the document hash at signing matches the current document.

This record is what you would present in a dispute to demonstrate that a specific named person agreed to a specific document at a specific time. The timestamp relative to any subsequent document disclosure is critical — if you shared sensitive information before signing was complete, the NDA may not cover that disclosure.

Teams that need to track NDA signing alongside secure document sharing — for example, sending a pitch deck or technical documents after the NDA is signed — can use SendNow to manage the signed PDF download and track who opened subsequent shared documents and when.

For a comprehensive look at what signing records capture and how they function as evidence, see the guide on electronic signature audit trails.

Downloading and Storing the Signed PDF

Do not rely solely on the platform's storage for the executed NDA. Platforms shut down, change ownership, or alter access policies. Best practice is to download and store both the executed PDF and the audit trail immediately after signing completes.

  • Download the final executed PDF from the platform's completed documents section.
  • Download the Certificate of Completion or audit trail report as a separate PDF.
  • Store both in a designated contract management folder, accessible to legal and leadership.
  • Send copies to the other party if the platform doesn't distribute them automatically.
  • Retain for the duration of the NDA plus a reasonable dispute window — typically 3-7 years depending on jurisdiction and document type.

When an NDA May Not Protect You

Electronic signature addresses one element of enforceability — the existence of a signed agreement. But several other factors determine whether an NDA actually protects you in practice:

  • Disclosure before signing: If you shared information before the NDA was executed, that disclosure is not covered by the NDA. The timestamp of signing relative to disclosure is determinative.
  • Vague scope: An NDA that does not clearly describe what information is confidential may not protect specific information that is later disputed.
  • Statute of frauds: Some jurisdictions require certain contracts to be in writing and signed to be enforceable. Electronic signatures typically satisfy this requirement, but jurisdiction-specific rules apply.
  • Proof of disclosure: Even a signed NDA does not prove that specific information was shared or that the recipient received it in the form claimed. Combining the NDA with document-access tracking provides a more complete evidentiary record.

For due diligence workflows where NDA signing precedes investor data room access, see electronic signatures in due diligence. For contract signing more broadly, see how to sign business contracts online.

Frequently Asked Questions

Yes, for most commercial purposes under US law (ESIGN Act / UETA) and EU law (eIDAS). An electronically signed NDA has the same legal effect as a wet-signed NDA when the signing event demonstrates intent, can be attributed to the signer, and creates a contemporaneous record. The enforceability of the NDA as a contract depends on its terms — an electronically signed NDA with vague scope, no duration, or no governing law clause may still be difficult to enforce despite a valid signature.
